Oktan Mineraloel-Vertrieb GmbH has established a joint venture with BP Europe SE. The new company will be called Mobene GmbH & Co. KG. Oktan's contribution to the joint venture includes aws Wärmeservice GmbH, a company that sells heating oil and electricity to private customers. Oktan also contributed parts of its trading operations as well as subsidiaries BärenWärme Mineralölges. mbH and COM OIL Energie + Service GmbH. BP contributed ARAL Direkt GmbH, which sells oil-based products such as heating oil, fuels and lubricants to commercial and public-sector consumers as well as distributors. Oktan and BP hold equal stakes in Mobene GmbH & Co. KG. A team from CMS Hasche Sigle at the Hamburg, Cologne and Brussels locations, led by tax law and M&A expert Dr Heino Büsching, advised Oktan on all aspects of structuring the multi-stage transaction, culminating in establishment of the new company Mobene GmbH & Co. KG. A wide range of employment law issues also had to be taken into account during the transaction, with CMS Hasche Sigle providing both joint venture partners with corresponding advice. The German Federal Cartel Office has already approved the proposed merger. Formation of the new company creates a leading player in the German oil industry.
