c.£92m sale of its shareholding in Europa Maidstone S.à r.l, owner of Maidstone’s Fremlin Walk shopping centre
Joint Venture with Goodman to develop premier logistics sites in the UK
International legal practice Norton Rose LLP has advised Europa Real Estate III S.á r.l and Scoop AM LLP on the sale of their shareholdings in Europa Maidstone S.à r.l, which owns the freehold interest in Fremlin Walk shopping centre in Maidstone. The Hawk Property Unit Trust was set up by Legal & General Investment Management Ltd specifically to purchase Europa Maidstone for the price of approximately £92 million. A Norton Rose LLP team originally advised Europa Maidstone S.á r.l (formerly Europa Radium S.à r.l., a Luxembourg based joint venture between Europa Capital and Scoop AM LLP) on its June 2009 acquisition of the Fremlin Walk Shopping Centre, Maidstone, Kent from Land Securities. The 2010 sale of the shareholdings completed on 16 December 2010. The team was led by London corporate finance partner Jason Moss and real estate partner David Sinclair, with assistance from Claire O’Donnell, Karen Fielding, Iain Millar, Jonathan Percy, Alun Price, Anastasia Gorokhova, Jerome Dunne, Madeleine Chandler, Charles Bremner and Crawford Edlington. London tax partner John Challoner and associate Kristy Cooper provided tax advice. Norton Rose LLP has also recently advised Europa Real Estate III S.à r.l. on its joint venture with global property group, Goodman, to acquire land sites suitable for the development of distribution and logistics property across the UK. The joint venture will develop premier logistics sites in the UK. It is able to invest in immediately deliverable land in prime locations that have outline planning permission, and to undertake the development of logistics facilities on a pre-let basis. It will have a particular focus on land in the Midlands and South East, with investment opportunities sourced separately to Goodman’s existing UK Logistics land bank. The joint venture will actively seek to recycle assets and has the capacity to invest up to £60m at any given time. The deal completed on 2 November 2010.
