Kromann Reumert advised the board of directors of Danisco A/S in connection with the voluntary recommended public offer for all the shares of Danisco A/S announced by E. I. du Pont de Nemours and Company (DuPont) on 10 January 2011. Having a total transaction value of DKK 36.1 billion, the offer represents a premium of 25 per cent compared to Danisco's closing price on 7 January 2011. Kromann Reumert has been assisting DONG Energy in connection with DONG Energy's sale of an indirect 7.25 per cent ownership interest in Nysted Havvindmøllepark - through a sale of 14.5 per cent of the shares in DONG Energy Nysted I A/S - to the German urban municipality of Hansestadt Lübeck through the company Stadtwerke Lübeck. Simultaneously DONG Energy will take over Stadtwerke Lübeck's 25.1 per cent share of the jointly owned subsidiary DONG Energy Sales GmbH, which means that DONG Energy will be the sole owner of that company. Upon completion of the transaction, DONG Energy and Stadtwerke Lübeck will indirectly own 42.75 and 7.25 per cent, respectively, of Nysted Havmøllepark through DONG Energy Nysted I A/S. PensionDanmark owns the remaining 50 per cent of the offshore wind farm. PensionDanmark acquired that ownership interest in a transaction in which DONG Energy was also assisted by Kromann Reumert. Kromann Reumert advised DnB NOR Bank ASA in connection with its acquisition of the remaining 49% of the shares in Bank DnB NORD A/S from Norddeutsche Landesbank Girozentrale for EUR 160 million. The completion of the transaction was announced on 23 December 2010. The transaction also involved DnB NOR Bank ASA's acquisition of a large amount of tier 2 debt from Norddeutsche Landesbank Girozentrale. Bank DnB NORD A/S is a Danish bank with subsidiary banks in Poland, Latvia and Lithuania.
