Macfarlanes advises Goldman Sachs Asset Management on the terms of the acquisition of a large portfolio of private equity investments

Macfarlanes LLP has advised Goldman Sachs Asset Management in a secondary transaction whereby a consortium led by Goldman Sachs Asset Management has acquired a portfolio of 20 buyout investments managed by AAC Capital Partners from ABN AMRO. As part of the transaction, the Goldman Sachs led consortium and ABN AMRO have committed €950 million to AAC’s current investment programme, which includes 11 acquisitions completed since October 2006. In addition, AAC Capital Partners acquired complete control from ABN AMRO of AAC Capital Partners' management company.
Goldman Sachs Asset Management is the asset management arm of The Goldman Sachs Group, Inc. (NYSE: GS) which managed €863 billion as of 29 August 2008. Goldman Sachs Asset Management has been providing discretionary investment advisory services since 1989 and offers investment strategies across a broad range of asset classes to institutional and individual clients globally.
AAC Capital Partners is one of Europe's most prominent mid market private equity firms, leading buyouts in its local markets (Benelux, the UK and Nordic region) within the €50-500 million deal range in the consumer, industrial and services sectors.

The Macfarlanes team was led by corporate partner Luke Powell and included senior corporate associate Richard Phillips, funds partner Stephen Sims, debt finance partner Richard Rogerson and senior tax associate Damien Crossley.
Dutch law advice was provided by De Brauw Blackstone Westbroek (Niek Biegman), German law advice by Nörr Stiefenhofer Lutz (Karsten Metzlaff), while Scandinavian law advice was co-ordinated and provided by Gernandt & Danielsson (Carl Westerberg).
