RWE Energy AG in Dortmund is acquiring the nationwide district heating business of Exxon Mobil Central Europe Holding GmbH (Hamburg). The execution of the transaction is subject to Federal Cartel Office clearance. RWE Energy AG is the distribution and grid company for continental Europe within the RWE group and, with a workforce of more than 28,000 employees, achieved area sales of 28.5 billion euro in 2007. Part of the Esso heating business are inter alia the 100% stake in Favorit Unternehmens-Verwaltungs-GmbH (Favorit), which has up until now been held by ESSO Germany GmbH. With its over 120 employees, Favorit generated total revenues of €80 million in 2007 and supplied 70,000 customers with 1,000 GWh of heat. The business focuses on the German states of Hamburg, North Rhine-Westphalia, Hesse and Baden-Wuerttemberg. A team of Oppenhoff & Partner, led by Dr. Lars Böttcher, extensively advised RWE Energy during this transaction.
