INTERNATIONAL DEALS
The International law firm Freshfields Bruckhaus Deringer LLP has advised French public finance institution the Caisse des dépôts et consignations (CDC) on the creation of a new Strategic Investment Fund, as announced by French President Nicolas Sarkozy last year. The Strategic Investment Fund, designed to boost equity and stabilise the capital of French businesses, has been set up in the form of a public limited company (société anonyme) as a subsidiary of the CDC, and is led by the CDC’s chief executive, Gilles Michel. It will initially be endowed with assets of up to €20 billion contributed by the CDC and the French State (made up of €14 billion in securities and €6 billion in cash contributions). Members of the CDC’s legal department involved in the project were Oliver Ritz, Jérémie Gué and Nathalie Braud. The Freshfields team was made up of: Patrick Bonvarlet (partner and team coordinator), Yannick Piette, Guillaume Goubeaux and Cyril Deniaud for corporate aspects; Thierry Laloum (partner) and Vincent Brenot (counsel) for on the public law aspects of the Fund’s set-up; Hervé Touraine (partner) and Laura Asbati on financial law aspects; Philippe Goutay (counsel) on financial regulatory aspects; and Jérôme Philippe (partner) and Jérémy Bernard on aspects concerning merger law. Other advisers: The Agence des participations de l’Etat** was advised by Gibson Dunn & Crutcher LLP (Nicolas Baverez, Benoît Fleury and Timothée Giard). François Sureau from the law firm Darrois Villey Maillot Brochier also advised the CDC.
