Norton Rose advises HSBC Holdings plc on the UK’s biggest ever rights issue
International legal practice Norton Rose Group has advised HSBC Holdings plc on its £12.5 billion (US$ 17.7 billion) 5 for 12 fully underwritten rights issue which was announced today.. A circular produced in English, Chinese and French is to be sent to shareholders tomorrow. A prospectus will be filed in mid-March and further documents will be despatched to shareholders after the General Meeting to be held on 19 March. The rights issue will close on 3 April. In addition to its London and Hong Kong offices, the international transaction team involved Norton Rose Group’s Amsterdam, Athens, Dubai, Frankfurt, Paris, Riyadh and Shanghai offices. Correspondent lawyers in a number of other jurisdictions were also involved. The Norton Rose team was led by London Corporate Finance partner Martin Scott. The London team included partners Nick Adams and Chris Randall (corporate), David Cohen (employee incentives) and Dominic Stuttaford (tax). The Hong Kong team, which was heavily involved in view of HSBC Holdings’ dual primary listing on the London and Hong Kong Stock Exchanges, was led by corporate partner Richard Crosby, assisted by Liza Lee. The principal associates involved were Rachel Chan, Ed Denny, Emma de Ronde, Louise Dent, Sara Hamid, Fay Holden, Dan Jarman, Lance Jones, Lily Kotsana, Vicky Lam, Anne Ledingham, Kathy MacDonald, Ed Martin, John Simpkins, Emily Smith and Ed Sumner. The Norton Rose Group team worked closely with the company secretarial teams at HSBC led by Ralph Barber and including Paul Stafford and Nicola Black and the legal team led by Richard Bennett and including Richard Hennitty and Melanie Barnett. A team at Cleary Gottlieb Steen & Hamilton LLP led by Ashar Qureshi advised HSBC Holdings on US law. Linklaters LLP and Shearman Sterling LLP acted for the underwriters.
