Shearman & Sterling LLP represented Ecopetrol in its acquisition from Enbridge Inc. of all of Enbridge’s shares in Oledoducto Central S.A. (Ocensa) for US$417.8 million. As a result of this transaction, Ecopetrol’s interest in Ocensa increased from 35.3% to 60%. Ocensa owns and operates the most important oil transport system in Colombia. The pipeline has a capacity to transport up to 650,000 barrels of oil per day, is 829 kilometers long and consists of five pumping stations and an export port on the Colombian Caribbean Coast. Ecopetrol, Colombia’s largest company, is among the top 40 oil companies in the world and is one of the four major oil companies in Latin America. Ecopetrol owns the main oil refinery in Colombia, most of the Colombian oil transportation network and multiple pipelines in the country. Enbridge, a Canadian company, is a leader in the transport and distribution of energy in North America. Enbridge will continue to act as the operator of the pipeline, Ocensa’s five pumping stations and Ocensa’s export port.
