International law firm Freshfields Bruckhaus Deringer has advised Ultra in relation to its acquisition of Texaco’s Brazilian fuels distribution business, which supplies approximately 2,000 service stations across Brazil. Ultra is a Brazilian fuels distribution, chemicals production and logistics business listed on the New York and Sao Paulo stock exchanges with a market capitalisation of US$2.7 billion. The combination of the Texaco business with Ultra's own Ipiranga division will create a nationwide Brazilian fuels distribution business of more than 5,000 service stations. The acquisition was valued at approximately US$730 million (as at signing in August 2008). Corporate partner David Sonter, who led the team, commented: ‘We are very pleased to have helped Ultra bring this significant transaction to a close. The deal will not only enable Ultra to create a nationwide Brazilian fuels marketing business, but also demonstrates the wider promise of the Brazilian fuels industry and economy. Despite the global turmoil, successful closing of this transaction underlines the country’s ability to cope with the downturn and its positive prospects.'
