Dechert LLP announced the promotions, effective from the 1st January 2009, of several associates to the status of national partner or counsel: National Partners: Olivia Guéguen is based in the firm's Paris office and is a member of the corporate and securities group. She has extensive experience advising international groups and private equity firms on domestic and cross-border acquisitions, divestitures, joint ventures, and restructurings, across a wide range of industries, including the life sciences and engineered products manufacturing sectors. Olivia also advises French and international clients with respect to corporate matters such as conflicts between shareholders and post-closing disputes. She is a graduate of Hautes Etudes Commerciales (1997) and the University of Paris II - Assas (Masters Degree, Business and Tax Law, 1998). Dr. Katja Heuterkes is resident in the firm's Munich office and is a member of the corporate and securities group. She specializes in German and cross-border mergers and acquisitions, private equity investments, and capital markets transactions. She has extensive experience advising on local and international M&A transactions, including complex pre- and/or post-transactional restructurings, as well as private equity and venture capital investment, management buy-outs, and seed and bridge financings. Well versed in German capital markets law, she has handled multiple domestic securities offerings and takeover bids, and advised publicly listed German companies on compliance with local securities laws. Katja has undergraduate and doctorate degrees from the University of Münster (1995 and 1998), as well as a Master of Business Administration degree from the Sydney Graduate School of Management (2004). Anne-Laure Marcerou is a member of the corporate and securities group who focuses on mergers and acquisitions. Resident in the firm's Paris office, she also specializes in pharmaceutical law, assisting pharmaceutical and medical device companies, as well as healthcare and biotech firms, with respect to industry-specific regulatory issues (clinical trials, promotional activities, pricing issues, marketing authorizations, and data protection as well as contract manufacturing). Anne-Laure is a graduate of Faculté Jean Monnet Paris XI (DEA, 1997) and ESSEC, Droit des Affaires Internationales et Management (1997). Antonios Nezeritis is based in the firm's Luxembourg office and is a member of the financial services group. He focuses on financial law, including investment funds, company and commercial law, advising clients on the incorporation of investment funds and companies, regulatory approvals, corporate documents, mergers, and liquidations. This includes advising on applications for the listing of investment funds on the official list held by the Luxembourg regulator, and on listings on the Luxembourg Stock Exchange for investment funds. Antonios is a graduate of the Université Robert Schuman in Strasbourg (Maîtrise de Droit des Affaires, 1997) and holds a DESS ("Diplôme d'Etudes Supérieures Spécialisées") in International Trade (1998). Jacques Sivignon, who is resident in the Paris office, is a litigator with extensive experience advising multinational clients before French Courts in complex commercial litigation, product liability, industrial risk, and post-acquisition matters, with a particular focus on the pharmaceutical, medical device, and healthcare industries. Jacques is a graduate of the University of Paris X (Maîtrise de Droit des Affaires, with honors, 1995) and New York University School of Law (LL.M., competition law and IP, 1996). Counsel: Tram N. Nguyen is based in the firm’s Washington, D.C. office and is a member of the financial services group. She focuses her practice on hedge fund and other private matters, advising U.S. funds as well as non-U.S. funds on fund structuring, fund formation, distribution, and compliance issues. She has represented managers implementing a variety of investment strategies, including fixed income, mortgage-backed securities and market neutral as well as funds of funds managers. Tram is a graduate of Princeton University (B.A., magna cum laude, 1992), Harvard University (M.A., 1994), and Columbia University (J.D., 1998). She served as a law clerk to Hon. Evan J. Wallach of the U.S. Court of International Trade. Reza Pishva is a member of the financial services group and is based in the Washington, D.C. office. He advises investment companies, investment advisers, and fund boards of directors on a variety of corporate and regulatory matters. Reza also has experience structuring and organizing a variety of domestic and offshore hedge funds. In addition, he has assisted Islamic financial institutions with the organization of Shari'ah-compliant funds. Reza is a graduate of Northwestern University (B.A., 1997), the American University Kogod School of Business (M.B.A., 2000), and the American University Washington College of Law (J.D., cum laude, 2000). Thomas A. Rayski is an associate in the intellectual property group and is resident in the firm’s New York office. Tom focuses his practice on structuring and negotiating complex domestic and foreign transactions involving intellectual property and technology assets, including strategic collaborations, acquisitions, licenses, research and development arrangements, joint ventures, financings and manufacturing and distribution agreements. He has extensive expertise advising clients on intellectual property matters in a variety of industries, including life sciences, information technology and financial services. He is a graduate of Rutgers University (B.S., with high honors, 1992), and Rutgers Law School - Newark (J.D., with high honors, 1999). Amy S. Ufberg is a member of the private client group and is based in the firm’s Philadelphia office. Her practice involves all areas of estate planning, charitable planning, and estate and trust administration. She has particular experience with succession planning for individuals with interests in closely held businesses. Amy has crafted and implemented many sophisticated wealth transfer plans for individuals and large family groups and handles the administration of large, complex estates and trusts in multiple jurisdictions. She also represents several large charitable foundations. She is a graduate of the University of Pennsylvania (B.A., 1996) and Temple University School of Law (J.D., cum laude, 1999).
