International law firm Freshfields Bruckhaus Deringer has advised Air Berlin PLC, Germany’s second largest airline, on its strategic partnership agreement with TUI Travel PLC. The agreement is based on a cross ownership in which TUI Travel, through a subsidiary, will acquire an interest of 19.9 percent in Air Berlin and vice versa Air Berlin will hold 19.9 percent of TUIfly. Subject to consent by the antitrust authorities, the co-operation will start in October 2009. Under the terms of the agreement, Air Berlin will assume TUIfly’s city flight business, starting with the flight schedule for Winter 2009/10. Of the total of 38 aircraft of TUIfly, 17 planes will be chartered to Air Berlin via a long term wet lease (i.e. including the crews). The remaining TUIfly aircraft will be operated under the brand TUIfly for TUI Deutschland tourism flights. Freshfields Bruckhaus Deringer’s team comprised Konrad Schott, Sarah Isbister, Daniel Voigt, Carsten Endres (all finance), Stephan Reemts, Marianne Klumpp, Dirk Schmalenbach, Mark Rawlinson, George Swan, Ben Critchley (all corporate), Peter Niggemann, Juliane Ziebarth (both antitrust), Jochen Leßmann (employment, pensions and benefits) and Claus Pegatzky (regulatory). The team worked with Air Berlin’s in-house counsel Michelle Johnson and Eckhard Rautenberg.
