Shearman & Sterling represented the underwriters led by Citi, Goldman, Sachs & Co., J.P. Morgan, Morgan Stanley, Deutsche Bank Securities, and Merrill Lynch & Co. in connection with Ford Motor Company's offering of 345 million shares of common stock for approximately $1.589 billion, including the exercise of the underwriters' over-allotment option. This is Ford's first fully underwritten primary offering of common stock since the firm helped take Ford public in 1956. The proceeds from the sale will go to fund, in part, the Voluntary Employee Benefit Association trust (VEBA), pursuant to an agreement between Ford and the United Automobile, Aerospace and Agriculture Implement Workers of America, Ford's primary domestic labor union. The VEBA will assume responsibility to provide retiree healthcare to eligible retired and active workers.
