International law firm Freshfields Bruckhaus Deringer has advised Total on the sale, worth approx. $725m, of a 45% stake in the Flessingue refinery, located in the Netherlands, to the Russian oil company Lukoil. The refinery was originally sold by the US company Dow Chemical to the US independent refinery company Valero Inc., and thereafter purchased by Total, further to the exercise of a pre-emptive right. Freshfields’ team was led by corporate partner Jean-Claude Cotoni, and also included fellow partner Shawn der Kinderen and associate Paul Moss-Bowpitt (both corporate), partners Gwen Senlanne and Brechje Nollen (both employment, pensions and benefits), partner Thomas Janssens and principal associate Angélique de Brousse (both antitrust, competition and trade) and counsel James Clarke (finance). The team worked closely with Total’s in-house counsel, General Counsel Jonathan Marsh, and Senior Counsels Olivier Insolubile and Florence Bléry (Total Raffinage Marketing).
