International legal practice Norton Rose LLP has advised Jefferies International, who acted as sponsor, in a combined (i) placing and open offer of ordinary shares, (ii) zero dividend preference share (ZDP) “roll-over” and (iii) new ZDP share issue by JZ Capital Partners Limited, a closed-ended investment company whose shares are listed on the Official List of the London Stock Exchange. JZ Capital, which is managed by US-based Jordan/Zalaznick Advisers, invests in micro-cap buyouts, mezzanine investments (including high yield securities) and other debt and equity opportunities involving US-based businesses. The placing and open offer was extended to US shareholders on a private placement basis. The ordinary share issue raised £95.6 million and the ZDP roll-over and issue effectively raised £44.6 million. The Norton Rose LLP team included Funds partner Ian Fox, assisted by Daniel Evans and Tim Page, advising on English law aspects of the transaction. Partner Tom Vita, assisted by Adriana Maestas, advised on US law aspects. Associate Genevieve Beyea, among others, also assisted. Ashurst LLP acted for the Company. Mourant du Feu & Jeune acted as Guernsey counsel.
