Freshfields advises on one of the largest European private equity and real estate deals of the year so far

International law firm Freshfields Bruckhaus Deringer has advised a consortium of real estate international private equity funds including RREEF Alternative Investments, Area and Europa Fund on the €1.2 billion acquisition from BBVA of a portfolio of circa 1,000 bank branches and landmark buildings throughout Spain and subsequent long term lease back to BBVA. The transaction has been financed by a syndicate of banks led by Barclays, Deutsche Bank and La Caixa. This is the biggest sale and leaseback transaction in the Spanish market today.
The Spanish team advising on this transaction has been led by corporate partner Armando Albarrán, supported by the team of associates including Manuel Toledano, Paul Doris and Javier Monzón. Fellow partners Juan Gomez-Acebo , Miguel Lorán and Iñaki Gabilondo respectively advised on the real estate, tax and finance aspects of the transaction. They were supported by real estate associate: Fernando Soto, tax counsel Adolfo Zunzunegui , tax associate María Mera, and by finance associates: Jesús Estévez, Jaime Rossi, Rafael Vilaplana and Isabel Villa.
Also advising on this transaction were partners Simon Johnson (Finance, London), Christopher Morris (Real Estate, London), Mark Wheelhouse (Real Estate, London), Thijs Flokstra (Finance, Amsterdam), Eelco van der Stok (Tax, Amsterdam) and Machiel Lambooij (Tax, Amsterdam), and associates Robert Jean Kloprogge and Sacha Peelen (Tax, Amsterdam) and Marlies de Wilde (Finance, Amsterdam).
