Kromann Reumert assisted BullGuard, DONG Energy Power, Gerstenberg & Agger and Linco Food Systems

Internet security provider BullGuard has acquired its agent BullGuard Nordic A/S, which has until now been the exclusive distributor of BullGuard's products in Denmark and in the other Nordic countries. The acquisition reflects BullGuard's growth strategy with emphasis on more focused marketing and increased visibility on the Nordic market, supported by a wider range of products and services. Kromann Reumert represented BullGuard.
In 2009, Kromann Reumert assisted the Danish Government in drafting and executing agreements for the injection of hybrid Tier 1 capital into approximately 40 Danish credit institutions.
Kromann Reumert assisted Danish energy company DONG Energy Power A/S when it entered into an agreement on 17 December 2009 with Vattenfall Europe Windkraft GmbH for the purchase of 49% of the shares in Borkum Riffgrund I Holding A/S, an offshore wind farm project. Kromann Reumert also advised DONG Energy Power A/S on Danish law matters when it entered into an agreement with German wind farm developer PNE Wind AG for the purchase of its 50% stake in each of the two German offshore wind farm projects Borkum Riffgrund 1 and 2. The purchase agreements with Vattenfall Europe Windkraft GmbH and PNE Wind AG made Dong Energy A/S sole proprietor of the Borkum Riffgrund 1 and 2 projects.
Kromann Reumert assisted Danish energy company DONG Energy A/S when it entered into an agreement on 23 December 2009 with Siemens Energy Sector, strengthening the parties' existing cooperation which started in the first half of 2009. Under the new supply agreement, Siemens is to deliver wind turbines for an offshore project near Lincs in the UK North Sea. The parties' existing agreement was also changed to include more potential supplies of wind turbines for DONG Energy's North European project pipeline, and several other adjustments were made.
Kromann Reumert assisted Danish energy company DONG Energy A/S when it purchased 50% of the shares in the offshore wind farm Lincs in the UK North Sea on 23 December 2009 together with Siemens Project Venture (SPV). The seller was British energy company Centrica. The total purchase price amounted to 50% of the production costs, which are estimated at GBP 50 million (EUR 75.8 million).
Kromann Reumert assisted Danish energy company DONG Energy A/S when it sold its 25.1% stake in Walney Offshort Wind Farm to Scottish and Southern Energy plc (SSE) at a price of GBP 39 million (EUR 44 million).
Kromann Reumert, together with Deloitte Corporate Finance, assisted the Danish family-owned company Gerstenberg & Agger A/S when it sold Gerstenberg Schröder A/S to NYSE-listed SPX Corporation. The world’s leading manufacturer of food processing equipment, Gerstenberg Schröder A/S has subsidiaries and branches in seven countries and sells to 120 countries.
Kromann Reumert represented Linco Food Systems A/S in the first Danish Supreme Court case concerning the validity of a European patent. The patent as originally granted, which, according to the testimony of court- appointed experts lacked novelty, had been limited under the Article 105a EPC procedure shortly before the trial. The trial was therefore concerned with the question whether the limitation implied that there was an inventive step over the prior art.
Kromann Reumert, together with Clifford Chance, assisted the US parent company of internet bank E*TRADE, E*TRADE Financial Corporation, in connection with the sale of E*TRADE’s Nordic activities to Danish online investment bank Saxo Bank A/S, including the shares in E*TRADE Bank A/S. The purchase price has not been disclosed.
Kromann Reumert acted for Via Venture Partners in connection with its investment in London based Adform, a leading provider of online marketing platforms in the Nordic region.
