Slaughter and May advised INEOS on Secured bond issue

Slaughter and May advised Kerling PLC, as part of an integrated team with Cravath, Swaine & Moore LLP, on its €785 million secured bond issue and subsequent refinancing of debt within the INEOS group.
We advised on the amendments to the facility arrangements, refinancing of the debt, and security elements of the transaction; the proceeds of the bonds were used, amongst other things, to acquire the ChlorVinyls business from the Ineos Group and to redeem a €160 million high yield bond issued by the ChlorVinyls business.
