Freshfields advises Amadeus on $1.3 billion IPOInternational law firm Freshfields Bruckhaus Deringer has advised Amadeus IT Holding, S.A. (Amadeus) on its $1.3 billion Initial Public Offering (IPO)

The transaction involved an offering of shares representing 26.74 per cent of Amadeus’ share capital after the offer, plus an over-allotment option to purchase shares representing 2.67 per cent of Amadeus’ share capital after the offer. The offer price was fixed at €11 per share, resulting in a market capitalisation for Amadeus of €4,923.4m. Trading on the shares through the Automated Quotation System (Mercado Continuo) of the Madrid, Barcelona, Bilbao and Valencia Stock Exchanges commenced on 29 April 2010.
The Freshfields team was led by Madrid-based corporate partner Armando Albarrán assisted by senior associates Javier Cubillo and Alfonso de Marcos and associates Regina Madrazo and María Ortíz de Artiñano.
London corporate partners Monica McConville and Sarah Murphy led on the international aspects of the IPO (assisted by Madrid senior associate James Pointon and associate Joe Amann), while finance partners Sean Pierce and Ana Lopez advised on financial aspects of the deal. The finance team also included German partner Christian Bunsen, Madrid-based Jesús López-Bragado (senior associate) and associates Cristina Esteve and María Lérida, London associate Sebastian Fitzgerald and associate Nina Thönissen in Frankfurt.
Amadeus is a leading transaction processor for the global travel and tourism industry, providing transaction processing power and technology solutions to both travel providers (including full service carriers and low-cost airlines, hotels, rail operators, cruise and ferry operators, car rental companies and tour operators) and travel agencies (both online and offline). The company acts both as a worldwide network connecting travel providers and travel agencies through a highly effective processing platform for the distribution of travel products and services (through our Distribution business), and as a provider of a comprehensive portfolio of IT solutions which automate certain mission-critical business processes, such as reservations, inventory management and operations for travel providers (through our IT solutions business). The Amadeus system processed more than 670 million billable travel transactions in 2009.
