International law firm Dechert LLP advised long standing client RWC Partners Limited (“RWC”) on Schroder’s acquisition of a 49% in the fund management firm. The stake in RWC represents a financial investment by Schroder’s and was acquired mainly from existing third party, individual shareholders. RWC will remain a separate legal entity and will continue to be managed by its existing management team. RWC manages circa US$2bn compared to £168bn for Schroder’s, and RWC had gross assets of approximately £10 million as at the date of completion of the transaction. A Schroder’s spokesperson described the purchase an “investment in a quality company with good growth potential. The Dechert London team advising RWC was led by corporate partner Graham Defries and financial services partner Stuart Martin, assisted by financial services partner Gus Black and tax partner David Gubbay. David Willbe was lead associate. Said Graham: “This is an exciting move by Schroder’s to boost its exposure to an absolute return strategy fund manager in the form of RWC. We’re delighted to have been able to represent a valued long term client on such an important transaction.” Said Stuart: ”This deal highlights Dechert’s unique ability to advise international financial services clients across the board on all aspects of a transaction from corporate matters to financial services, investment fund, employment and tax issues. We believe no other law firm can offer sector clients a comparable comprehensive and global service.” Schroder’s were advised by a team from Slaughter and May led by partner Oliver Wareham. The selling founding shareholders of RWC were advised by a team from FFW led by partner Nicholas Thompsell.
