International law firm Freshfields Bruckhaus Deringer has advised the lenders to business-to-business logistics group DX Group on its successful restructuring. The Scheme of Arrangement process, sanctioned late last week in the English High Court, will see incumbent sponsor Candover retain control of 51% of the group with 49% going to junior lenders. Management retains a 13% economic interest. The Freshfields team was led by finance partners Chris Howard and Martin Hutchings with support from partners Sarah Falk (Tax), Farah Ispahani (Corporate) and Catherine Balmond (R&I). Senior associates Rebecca Graham (Finance), Jenny Doak (Tax) and Oliver Lazenby (Corporate) and associate Marc Finer (Finance) also supported. Chris Howard comments: ‘The court hearings for the DX Schemes set a useful precedent in that they allowed the DX companies to offer incentive fees to the consenting lenders only to expedite their agreement to the restructuring (including their support of the schemes of arrangement) without creating a separate class of creditors when it came to voting in the Schemes.’
